Terms of Service

1. Definitions

• "Service" refers to the Rounds Study web application, API, mobile interfaces, and all associated features, tools, and content accessible at rounds.study and its subdomains.
• "Platform" refers to the Rounds Study educational technology platform.
• "User", "You", or "Your" refers to any individual who accesses, browses, or uses the Service, whether registered or unregistered.
• "We", "Us", "Our", or "Company" refers to Rounds Study and its operators.
• "Content" refers to all text, data, questions, explanations, images, graphics, clinical cases, study materials, and other materials available through the Service.
• "User Content" refers to any content, files, documents, or materials that you upload, submit, or transmit through the Service, including but not limited to examination papers, question papers, PDFs, and study materials.
• "AI-Generated Content" refers to any content produced, processed, analyzed, extracted, or generated by artificial intelligence models used within the Service.

2. Acceptance of Terms

By creating an account, accessing, or using the Service in any manner, you represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) and that you have the legal capacity to enter into this binding Agreement.

If you are accessing or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include such organization.

Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the revised Terms. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

3. Description of Service

Rounds Study is an AI-powered educational technology platform designed to help medical students, healthcare professionals, and learners prepare for board examinations and enhance their medical knowledge through interactive study tools, including but not limited to:

Rounds is a study tool only. It is not a guarantee of exam outcomes, and it is not a substitute for independent study, professional instruction, or medical judgment.

• Multiple-choice question (MCQ) practice with AI-generated explanations
• Interactive clinical case simulations
• Spaced repetition review (Cloze cards)
• Gamified learning pathways with experience points and streaks
• Custom study paths ("My Paths") with AI-powered extraction from uploaded documents
• Performance analytics and mastery tracking

4. AI-Powered Content Disclaimer

• Potential for Errors: AI-generated content, including but not limited to answer explanations, clinical case scenarios, extracted questions, and study recommendations, may contain inaccuracies, errors, omissions, or outdated information. Artificial intelligence models are not infallible and can produce incorrect or misleading outputs.
• Double-Check Requirement: Rounds uses AI. You must independently verify and double-check important information before relying on it for any exam, clinical, academic, or professional purpose.
• Not Medical Advice: The Service and all Content provided therein are strictly for educational and informational purposes only. Nothing on this platform constitutes medical advice, clinical guidance, a professional diagnosis, or a treatment recommendation. The Content should never be used as a substitute for professional medical judgment, diagnosis, or treatment by qualified healthcare providers.
• No Clinical Reliance: You must never rely on the Service for clinical decision-making. Always seek the advice of a qualified physician or other qualified healthcare provider with any questions you may have regarding a medical condition or patient care.
• Verification Required: You are solely responsible for independently verifying the accuracy, completeness, and currency of any Content before relying upon it for any purpose, including but not limited to examination preparation.
• Content Updates: Medical knowledge evolves rapidly. Content on the platform may not reflect the most current medical research, guidelines, or standards of care. We make no representations about the timeliness of the Content.
• No Guarantee of Exam Success: Use of the Service does not guarantee any particular outcome in examinations, certifications, licensure, or academic performance.

5. User Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept full responsibility for all activities occurring under your account
• Notify us immediately at support@rounds.study of any unauthorized access or security breach
• Not share, transfer, or sell your account to any third party
• Not create multiple accounts for the purpose of circumventing restrictions or abusing the Service

We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for any reason including but not limited to violation of these Terms.

6. User Content and Uploads

When you upload, submit, or transmit any User Content to the Service (including examination papers, question papers, PDFs, or other study materials through the "My Paths" feature):

• You retain ownership of your original User Content, subject to the license granted below.
• You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service, including AI processing and question extraction.
• You represent and warrant that you have all necessary rights, permissions, and authorizations to upload and share such User Content, and that doing so does not infringe upon any third party's intellectual property rights, copyrights, or other legal rights.
• You acknowledge that uploaded content will be processed by AI models, and the resulting extracted questions, answers, and explanations are AI-generated outputs subject to the AI disclaimer in Section 4.
• You are solely responsible for ensuring that any User Content you upload does not violate applicable laws, regulations, or the rights of any third party.

We are not responsible for the accuracy, legality, or appropriateness of any User Content. We reserve the right to remove any User Content at our sole discretion, without notice, for any reason.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload content that infringes upon intellectual property rights, copyrights, trademarks, or proprietary rights of any third party
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service
• Use automated systems, bots, scrapers, or similar tools to access, extract, or collect data from the Service
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure
• Circumvent, disable, or interfere with any security or access-control features of the Service
• Redistribute, sublicense, sell, resell, or commercially exploit any part of the Service or its Content without express written permission
• Share or distribute extracted questions, answers, or AI-generated content from the Service in bulk or for commercial purposes
• Use the Service to create a competing product or service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload malicious software, viruses, or harmful code of any kind

8. Intellectual Property

All Content, features, functionality, design, graphics, user interface, code, algorithms, trademarks, service marks, logos, and trade names displayed on or through the Service are the exclusive property of Rounds Study or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial, educational purposes only, subject to these Terms. This license does not include the right to: (a) modify, copy, or create derivative works; (b) sell, resell, or commercially exploit the Service; or (c) use data mining, robots, or similar data gathering tools.

9. Subscriptions, Payments, and Billing

Certain features of the Service may require a paid subscription. By subscribing:

• You authorize us to charge the applicable subscription fees to your designated payment method on a recurring basis until you cancel.
• Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
• All fees are non-refundable except as expressly stated herein or as required by applicable law.
• If you cancel, cancellation applies to future renewals only; you keep access through the end of your current paid billing period.
• No prorated refunds are provided for unused time in a billing period, except where required by applicable law.
• Limited exceptions may be made for duplicate charges, billing errors, or verified technical non-delivery attributable to us.
• We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide reasonable prior notice.
• You are responsible for all applicable taxes associated with your subscription.
• Failure to pay may result in suspension or termination of your access to paid features.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROUNDS STUDY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from reliance on AI-generated content or educational materials
• Damages arising from examination results, academic performance, or career outcomes
• Damages resulting from errors, inaccuracies, or omissions in content
• Personal injury or property damage arising from your use of the Service
• Any unauthorized access to or use of your account or data
• Any interruption or cessation of the Service

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rounds Study and its officers, directors, employees, agents, partners, licensors, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any User Content you submit, upload, or transmit through the Service
• Any claim that your User Content infringes upon the intellectual property or other rights of a third party
• Any reliance upon Content for clinical, medical, or diagnostic purposes

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data
• Any outstanding fees will remain due and payable
• Sections 4, 8, 10, 11, 12, 14, and 15 shall survive termination

You may terminate your account at any time by contacting us at support@rounds.study. Termination of your account does not entitle you to any refund of subscription fees already paid, except where required by applicable law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration on an individual basis, seated in Delaware, USA, except to the extent applicable law provides a non-waivable right to proceed differently.

Either party may bring an individual claim in small claims court where eligible. No class, collective, consolidated, representative, or private attorney general action is permitted to the fullest extent allowed by law.

Class Action Waiver: To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rounds Study regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals.
• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.
• Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, internet or telecommunications outages, or AI model provider outages.
• Modifications: We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service. Your continued use after such notification constitutes acceptance.
• Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
